Terms of Service

1. Acceptance of Terms

By accessing or using the Roundmark platform ("Service"), you or the organization you represent ("Facility") agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Roundmark provides a software platform for residential behavioral health and recovery facilities to schedule, track, and document client observation rounds. Features include bed assignment management, NFC/QR scan verification, SMS and email alerts, and reporting tools.

3. Facility Responsibilities

By using the Service, your facility agrees to:

  • Ensure all staff who access the platform are authorized to do so by your organization.
  • Use the platform in compliance with all applicable laws and regulations, including HIPAA and state behavioral health licensing requirements.
  • Maintain the confidentiality of account credentials and notify us promptly of any unauthorized access.
  • Not use the Service to store or process data beyond its intended scope of client observation tracking.
  • Ensure that use of the Service does not replace clinical judgment or required in-person supervision.

4. Intended Use

Roundmark is a documentation and scheduling tool. It is not a medical device, clinical decision support system, or substitute for direct supervision. The Service records that a check was logged — it does not verify the quality or adequacy of any observation. Your facility remains solely responsible for the safety and well-being of all clients in your care.

5. Account and Data

Your facility owns all data you enter into the platform. Roundmark does not claim ownership of your client records, staff data, or operational information. We process this data solely to provide the Service as described in our Privacy Policy.

6. Service Availability

We strive to maintain reliable uptime but do not guarantee uninterrupted availability. Scheduled maintenance, infrastructure issues, or circumstances beyond our control may result in temporary unavailability. We are not liable for any losses arising from service downtime.

7. Limitation of Liability

To the fullest extent permitted by law, Roundmark shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, operational disruptions, or clinical incidents. Our total liability for any claim shall not exceed the amount paid by your facility for the Service in the three months preceding the claim.

8. Indemnification

Your facility agrees to indemnify and hold harmless Roundmark and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or violation of any applicable law or regulation.

9. Termination

Either party may terminate use of the Service at any time. Upon termination, your facility's data will be retained for up to 90 days and then permanently deleted, unless export is requested prior to deletion.

10. Modifications

We reserve the right to update these Terms at any time. Active facilities will be notified of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
